The Board of Directors of TotalEnergies has unanimously reaffirmed the relevance of the Company’s strategy built around its two pillars, Oil & Gas and Integrated Power, following its annual strategic seminar held on September 23 and 24, 2026. The Board reviewed the Company’s strategic outlook during the two-day seminar and reaffirmed its support for the continued deployment of the strategy. TotalEnergies is scheduled to present its strategic outlook to investors on September 28, 2026.

The Board also reviewed the continuity of the Company’s governance and leadership and expressed its wish that Patrick Pouyanné, Chairman and Chief Executive Officer, continue to lead the Company and oversee the implementation of its strategy. As part of its review, the Board considered the most appropriate governance structure for TotalEnergies. It unanimously decided to continue combining the positions of Chairman and Chief Executive Officer. According to the Board, the unified leadership structure forms part of the Company’s corporate governance framework, alongside the role of a Lead Independent Director.

Jacques Aschenbroich, who has served as Lead Independent Director since May 2023, is the preferred contact for shareholders and continues to fulfil the responsibilities associated with the position.

On the proposal of the Governance and Ethics Committee, the Board has unanimously decided that the renewal of Patrick Pouyanné’s mandate will be proposed to shareholders at the Annual Shareholders’ Meeting scheduled for May 2027. The renewal of Jacques Aschenbroich’s mandate will also be proposed at the meeting.

Jacques Aschenbroich, Lead Independent Director, said that since his appointment as Chairman and Chief Executive Officer in December 2015, Pouyanné had overseen a transformation of TotalEnergies, including changes aimed at improving financial performance, diversifying oil and gas supply sources, particularly LNG, and advancing the Company’s energy transition strategy.

Mr Aschenbroich also referred to the shareholder support of close to 98% for the amendment to the statutory age limits governing the positions of Chairman and Chief Executive Officer, which was submitted to the Shareholders’ Meeting on May 29, 2026. The Board’s decisions are intended to provide continuity in the Company’s leadership as TotalEnergies continues implementing its strategy across Oil & Gas and Integrated Power. Patrick Pouyanné and Jacques Aschenbroich did not participate in the deliberations of the Governance and Ethics Committee or the Board of Directors concerning matters related to their respective mandates.
