NDR Auto Components Limited has announced the establishment of its new joint venture with Japan-based Hayashi Telempu, marking a major expansion in its automotive components manufacturing portfolio. The new company, NDR Hayashi Automotive India Private Limited, was incorporated on October 10, 2025, with the Registrar of Companies, Central Registration Centre. The joint venture has been formed with an authorized and subscribed share capital of ₹200 crore, reflecting the partners’ strong commitment to India’s growing auto components industry.
Under the terms of the agreement, NDR Auto Components has acquired a 50% ownership stake by subscribing to 10 crore equity shares valued at ₹100 crore, paid in cash, establishing an equal partnership with Hayashi Telempu. The new entity will manufacture a wide range of automotive interior components, including ambient lighting systems, carpets, dashboard inner structures, rear window shades, and tonneau covers. These products will cater to domestic OEMs while also exploring export markets to strengthen India’s role in the global automotive supply chain.
The incorporation follows the board’s approval granted on May 9, 2025, authorizing the creation of the joint venture. The registered office of NDR Hayashi Automotive India Private Limited is located in Delhi, and as per regulatory filings, the company is now classified as a related party of NDR Auto Components. The promoters and promoter group hold no additional interest beyond their subscribed capital in the venture.
The joint venture does not require any further governmental or regulatory approvals to commence operations. NDR Auto Components Limited, listed on both the Bombay Stock Exchange (BSE) and the National Stock Exchange of India (NSE) under the ticker NDRAUTO, continues to strengthen its position as a key player in India’s auto parts sector. The company’s corporate office is based at the Maruti Joint Venture Complex in Gurugram, Haryana, while its registered office is located at Aerocity, near Indira Gandhi International Airport, New Delhi.
