Mobix Labs, Inc (Nasdaq: MOBX) has signed a definitive agreement to acquire Vision Aerial, Inc, a US-based designer and manufacturer of American-built, National Defense Authorization Act (NDAA)-compliant unmanned aerial systems (UAS). The transaction marks a significant milestone in Mobix Labs’ expansion into secure drone technologies and aerial intelligence solutions for defense, government and commercial applications.
The definitive agreement follows the previously announced letter of intent and advances the acquisition toward completion, subject to customary closing conditions and shareholder approval. Upon completion, Vision Aerial will become part of Mobix Labs’ growing autonomous systems business while continuing its U.S.-based manufacturing operations and retaining its leadership team.
The acquisition supports Mobix Labs’ National Security Matters Initiative by broadening its capabilities in secure unmanned aerial systems, advanced sensing, communications and defense technologies. By integrating Vision Aerial’s drone platforms with Mobix Labs’ expertise in radio frequency (RF), sensing, connectivity and aerospace electronics, the combined business aims to deliver comprehensive solutions for mission-critical operations.
Founded in 2013 and headquartered in Montana, Vision Aerial develops rugged unmanned aircraft designed for demanding environments. Its platforms are used by organizations including the US Air Force, US Navy, government agencies, energy and utility companies, research institutions and industrial customers. The drones support a wide range of applications, including national security, public safety, search-and-rescue operations, wildfire response, environmental monitoring, infrastructure inspection, agriculture, industrial mapping and advanced aerial sensing.
Vision Aerial’s aircraft are designed to accommodate interchangeable payloads, including high-resolution imaging systems, thermal cameras, LiDAR, optical gas imaging, multispectral sensors and precision mapping technologies. Under the terms of the agreement, Mobix Labs will acquire Vision Aerial for approximately $15 million, payable through a combination of cash and Mobix Labs common stock. The transaction is expected to close during the current quarter.
