Boyd Corporation, a global leader in engineered materials and thermal management solutions, has entered into a definitive agreement to sell its Thermal business to Eaton, a leading intelligent power management company, for $9.5 billion. The deal is pending customary closing conditions, including regulatory approvals, and is expected to conclude in the second quarter of 2026.

Following the completion of the transaction, Boyd’s Engineered Materials division will continue to operate independently under the Boyd Corporation brand, backed by Goldman Sachs Alternatives. This division focuses on advanced technologies for sealing, shielding, and insulating high-performance systems across critical industries. Boyd plans to leverage its strong foundation in material science, proprietary manufacturing expertise, and deep customer partnerships to drive further growth within its Engineered Materials business.

“This marks a milestone moment for Boyd and our entire team,” said Doug Britt, Chief Executive Officer of Boyd. “The combination of Eaton’s chip-to-grid power management with Boyd’s Chip-to-Ambient™ cooling technology will accelerate the deployment of next-generation AI data centers. Meanwhile, our Engineered Materials group will continue developing innovative solutions that solve complex engineering challenges in high-growth markets. With continued support from Goldman Sachs, we’re well positioned to build on our leadership and deliver sustained growth.”

Leonard Seevers, Partner in Private Equity at Goldman Sachs Alternatives, added, “We’re proud to have supported Boyd’s Thermal business through its rapid expansion. Eaton’s track record of portfolio-wide value creation will ensure this business thrives in its next phase. At the same time, we look forward to partnering with Boyd’s Engineered Materials team as they continue to deliver customer-driven innovation across vital industries.”

Boyd confirmed that the divestiture will not affect the operations of its Engineered Materials division. The business will retain its leadership structure, R&D capabilities, sales network, and customer support teams, ensuring seamless continuity for existing clients.
