GP Petroleums Limited (GPPL) has announced that its Board of Directors has approved a proposed investment of approximately ₹44.27 crore in Incubit Pipavav Terminal Private Limited (IPTPL). The transaction will give GPPL a minority equity stake along with management control, subject to definitive agreements, closing conditions and applicable regulatory requirements.

The proposed investment marks GPPL’s entry into the liquid-storage and terminal logistics sector, expanding its business beyond lubricants into infrastructure. IPTPL operates a terminal at Pipavav Port in Gujarat, providing a base for GPPL to develop storage and cargo-handling activities alongside its existing operations.

The company plans to explore opportunities to improve connectivity between the terminal and inland markets, assess expansion possibilities at Pipavav and evaluate further investments in logistics infrastructure. The move is intended to diversify GPPL’s business and establish an additional source of recurring revenue.

Ayush Goel, Chairman and Managing Director of GP Petroleums Limited, said, “We see Pipavav as the first step towards building a broader logistics infrastructure business alongside our core lubricants operations. Securing management control through a minority investment gives us a platform to connect port infrastructure with hinterland demand and participate in India’s growth. Our aim is to develop recurring storage and terminal income that strengthens the resilience of our cash flows over time. We will evaluate expansion and other opportunities with a focus on disciplined investment and long-term value creation.”

Under the proposed transaction, GPPL will acquire shares from existing shareholders of IPTPL. The acquisition may be completed in multiple tranches over a period of one year and will be funded through GPPL’s internal reserves. The final consideration will remain subject to changes in IPTPL’s share valuation. Completion of the transaction is also conditional on the fulfilment or waiver, where applicable, of specified conditions precedent and compliance with relevant statutory and regulatory requirements.

The proposed investment is expected to provide GPPL with a platform to participate in the storage and handling segment of India’s logistics infrastructure market. By adding terminal operations to its existing business, the company intends to broaden its revenue base and explore opportunities linked to port-led trade and inland distribution.

GP Petroleums Limited is a publicly listed manufacturer and marketer of industrial and automotive lubricants, process oils, greases and specialty products under the IPOL brand. The company has more than five decades of experience in the lubricants industry. The proposed investment represents a step in GPPL’s strategy to expand into related business areas while retaining its core lubricants operations. Its future plans for the Pipavav terminal will depend on the completion of the transaction and the outcome of subsequent assessments of expansion and logistics opportunities.
