Samvardhana Motherson International Limited (SAMIL) has announced that it has commenced exclusive negotiations, through its material subsidiary Motherson Global Investments BV (MGI BV), to explore the acquisition of 100% of the global automotive wiring harness business of Nexans autoelectric GmbH (“AutoElectric”). The proposed transaction is subject to employee consultations and the receipt of all requisite regulatory approvals.

The enterprise value for the potential acquisition has been agreed at €207 million on a cash- and debt-free basis, with the final consideration to be determined through customary closing adjustments. AutoElectric is a globally established automotive wiring harness manufacturer with a legacy spanning nearly six decades. The company supplies wiring solutions for both passenger and commercial vehicles and reported revenues of €749 million in calendar year 2024. Passenger vehicle programs accounted for approximately 81% of revenues, while commercial vehicles contributed the remaining 19%.

The company’s product portfolio includes low-voltage and high-voltage powertrain harnesses, body harnesses, specialised harnesses, and associated components, positioning it well to serve a wide range of powertrain architectures, including internal combustion engines, hybrid vehicles, and electric vehicles. AutoElectric operates 22 manufacturing and engineering facilities across 11 countries, supported by a strong engineering base of over 800 engineers and a skilled workforce of approximately 13,000 employees worldwide.

If completed, the transaction is expected to significantly enhance Motherson’s global wiring harness platform across both passenger and commercial vehicle segments. The combined operations are anticipated to accelerate innovation across powertrain technologies, enable the exchange of best-in-class operational practices, and support joint development of next-generation wiring solutions while maintaining agility and cost competitiveness. The proposed acquisition is expected to be cash EPS accretive and remains subject to statutory approvals and employee consultations, with transaction closure targeted by Q1 FY27.

Commenting on the development, Vivek Chaand Sehgal, Chairman, Motherson Group, said:
“This proposed acquisition represents an important step in Motherson’s growth journey. It strengthens our ability to support key global customers with comprehensive wiring harness solutions and extends our manufacturing footprint into new geographies. By combining Motherson’s execution strength with AutoElectric’s engineering expertise and customer relationships, we see strong potential for innovation-led and sustainable growth. We look forward to welcoming the AutoElectric team into the Motherson ecosystem.”
