RPG Life Sciences Limited has announced a strategic initiative to accelerate the next phase of growth for its Active Pharmaceutical Ingredients (API) business through the transfer of the API division to its wholly owned subsidiary, RPG Active Pharma Limited, on a going concern basis through a slump sale arrangement.

The move is part of RPG Life Sciences’ long-term strategy to establish a focused API platform with dedicated resources, enhanced management attention, and greater strategic flexibility, while continuing to strengthen its formulations business. The initiative comes at a time when global pharmaceutical supply chains are undergoing significant transformation, creating new opportunities for India’s pharmaceutical industry as a reliable hub for high-quality API manufacturing.

RPG Life Sciences has entered into an investment agreement with InvAscent, a healthcare-focused private equity investor, through an investment in RPG Active Pharma. The partnership combines RPG Life Sciences’ pharmaceutical expertise, manufacturing capabilities, and industry experience with InvAscent’s two decades of experience in investing in and scaling healthcare businesses.

As part of the agreement, funds managed by InvAscent will make an initial investment of up to ₹243 crore in RPG Active Pharma. The transaction structure also includes planned investments by RPG Life Sciences and InvAscent of up to ₹700 crore in RPG Active Pharma through multiple phases. The capital infusion will support expansion of manufacturing infrastructure, enhancement of product development capabilities, portfolio diversification, and pursuit of organic and inorganic growth opportunities.

RPG Active Pharma has also entered into a Share Purchase Agreement to acquire 100% equity ownership of Actis Generics Private Limited, an API manufacturing company based in Visakhapatnam. The proposed acquisition is expected to strengthen RPG Active Pharma’s manufacturing footprint, expand operational capabilities, and support its ambition of building a scalable API platform.

The new API-focused entity will concentrate on expanding manufacturing capacity, developing a broader portfolio of APIs, and serving customers across domestic and international markets. The business will continue to emphasize quality, reliability, innovation, and long-term customer partnerships.

Commenting on the development, Ashok Nair, Managing Director, RPG Life Sciences, said, “Building a strong and scalable API business has been a strategic priority for RPG Life Sciences. RPG Active Pharma provides the right platform to pursue this opportunity with greater focus, speed, and scale. Our partnership with InvAscent brings together complementary strengths and supports our ambition to create a high-quality API business with expanded capabilities and sustainable value creation.”

Dr Jeevak Gupta, Managing Director, InvAscent, said, “We are pleased to partner with RPG Life Sciences in building RPG Active Pharma into a differentiated API business. RPG Life Sciences brings strong pharmaceutical capabilities and an established operating foundation, and we look forward to supporting the company’s growth through capital, strategic guidance, and healthcare sector expertise.” The proposed transactions remain subject to applicable regulatory approvals and completion of customary closing conditions.

RPG Life Sciences, part of the RPG Group, is an integrated pharmaceutical company operating across branded formulations, global generics, and synthetic APIs. RPG Active Pharma has been established to develop a focused API platform with capabilities spanning product development, manufacturing, and commercialization.
