Hexagon AB has signed a definitive agreement to acquire Waygate Technologies from Baker Hughes in a transaction valued at approximately $1.45 billion. The acquisition marks a significant expansion of Hexagon’s Manufacturing Intelligence business into the global non-destructive testing (NDT) market and strengthens its position as a provider of integrated measurement, inspection and quality assurance solutions.
Waygate Technologies is a global leader in industrial inspection technologies, serving customers across aerospace, automotive, energy and advanced manufacturing sectors. The company generates approximately $630 million in annual revenue and employs around 1,500 professionals across 25 locations worldwide.
The acquisition combines Waygate’s expertise in radiography, computed tomography (CT), remote visual inspection, ultrasonic testing and industrial imaging with Hexagon’s established strengths in precision metrology, manufacturing software and industrial data analytics.
Anders Svensson, President and Chief Executive Officer of Hexagon, said, “This transaction represents a natural evolution of our Manufacturing Intelligence strategy. Customers increasingly require comprehensive quality assurance solutions that extend beyond surface measurement to include the internal structure and integrity of components. By bringing together Waygate’s advanced inspection technologies and Hexagon’s measurement and software capabilities, we will create a highly differentiated offering that supports quality, productivity and operational excellence across the manufacturing lifecycle.”
A key strategic benefit of the acquisition lies in the integration of Waygate’s computed tomography systems with Hexagon’s advanced CT analysis and visualization software. The combination is expected to provide manufacturers with a unified platform for inspection, metrology and quality control across complex production environments.
The transaction also provides Hexagon with entry into the aerospace maintenance, repair and overhaul (MRO) market through Waygate’s industry-leading remote visual inspection business. This segment serves aviation customers with advanced borescope technologies used for engine inspection and maintenance without component disassembly.
Hexagon believes the acquisition presents significant opportunities for operational improvement and long-term value creation. Planned initiatives include manufacturing optimization, expanded localization capabilities in key markets, cross-selling opportunities across customer bases and enhanced integration of hardware and software solutions.
Waygate’s radiography business, recognized globally for high-performance industrial CT systems and X-ray technologies, is expected to benefit from Hexagon’s manufacturing scale and commercial reach. Additional opportunities are anticipated across aerospace, automotive, battery manufacturing, electronics and industrial applications.
The acquisition is expected to close during the second half of 2026, subject to customary regulatory approvals and closing conditions. Hexagon plans to fund the transaction through existing cash resources and available debt capacity. The combination creates a powerful platform positioned to support the growing convergence of precision measurement, digital manufacturing, industrial analytics and advanced inspection technologies across global industries.
