Duravant LLC has completed its acquisition of Matthews Automation Solutions, a provider of warehouse execution system (WES) and warehouse control system (WCS) software, controls, and integration services. The business was acquired from Matthews International Corporation.

The transaction, first announced on November 13, 2025, closed on December 31, 2025. Matthews International reported total consideration of $232.1 million, including $225.4 million in cash and the assumption of certain liabilities. The warehouse automation business recorded sales of $72 million in fiscal year 2025.

Duravant said the acquisition strengthens its position in the material handling sector by adding advanced software and controls capabilities. The company has operated in the space for over two decades through brands such as FMH Conveyors and NPI.

Matthews Automation Solutions is recognized as the largest independent provider of WES and WCS software and controls integration in North America, with brands including Pyramid, Compass, and Lightning Pick. Warehouse execution software coordinates multiple systems and workflows to improve order processing efficiency and meet delivery cut-off times.

Mike Kachmer, Chairman of Duravant, said the acquisition expands the company’s software and engineering capabilities and enables it to offer more fully integrated solutions from system design through long-term service support.

Raman Joshi, Group President of Duravant Material Handling, said bringing software and controls capabilities in-house will allow Duravant to deliver faster, more efficient warehouse solutions for ecommerce, retail, parcel, and logistics customers.

Matthews International stated that proceeds from the sale, after taxes and transaction costs, will be used primarily to reduce outstanding debt. President and CEO Joseph C. Bartolacci said the transaction followed a strategic review aimed at improving shareholder value and lowering leverage, while the broader review process remains ongoing.

Separately, Duravant announced a leadership transition. Jill Evanko has been appointed Chief Executive Officer, effective January 5, 2026. Mike Kachmer has retired from the CEO role and will continue as Chairman. Evanko previously served as President and CEO of Chart Industries.
