Sindhu Trade Links Limited (STLL) has completed two strategic acquisitions with a combined consideration of ₹922.5 crore, strengthening its presence across coal, mining, logistics and infrastructure. The company has acquired a 78.26% stake in Advent Coal Resources Pte Ltd. Singapore, for ₹697.05 crore and a 50.10% stake in Sainik Mining and Allied Services Limited (SMASL), India, for ₹225.45 crore.
Advent Coal Resources holds an effective 100% economic interest in a 620 million tonne coal resource project in Indonesia. The project is being developed in East Kalimantan as an integrated coal and infrastructure development. It includes infrastructure connecting the mine through a 130-km logistics corridor to a deep-sea port and a future industrial cluster.
The acquisition gives STLL an expanded presence in the Indonesian coal market and adds an international resource and infrastructure asset to its portfolio. The company said the transaction will support its strategy of building an integrated platform across the natural resources and infrastructure sectors.
The acquisition of SMASL strengthens STLL’s domestic mining services capabilities. SMASL provides Mine Developer & Operator (MDO) services, overburden removal, coal extraction and coal transportation. The company has experience in long-term mining contracts and outsourced mining operations.
One of SMASL’s major projects is its 24-year MDO contract with National Thermal Power Corporation (NTPC) for Dulanga Coal Mines. The contract has received several performance awards since its commencement in 2017. SMASL reported revenue of ₹985 crore and EBITDA of ₹102 crore in FY2025-26.
Vikas Singh Hooda, Chief Executive Officer, Sindhu Trade Links Limited, said, “The acquisitions mark an important milestone in Sindhu Trade Links’ growth journey, strengthening its platform to participate in larger and more integrated opportunities across the natural resources and infrastructure landscape. With a combination of operating capabilities, strategic assets and an expanding international footprint, the Company is well positioned to build scale, deepen its market presence by participating in upcoming opportunities in strategic mineral development via MDO (Mine Developer and Operator) & commercial mining to build sustainable value over the long term.”
As part of the Advent Coal Resources transaction, STLL allotted 30,04,55,030 equity shares on a preferential basis. The SMASL acquisition involved the allotment of 9,71,76,757 Compulsorily Convertible Preference Shares (CCPS), convertible into equity shares in a 1:1 ratio.
The transactions were completed following the required regulatory, corporate and shareholder approvals. The acquisitions expand STLL’s operating and asset base across both domestic and international markets. The company said its focus will remain on opportunities that align with its existing capabilities in mining, logistics, transportation and allied businesses.
The transactions also provide STLL with exposure to both mining services and coal resources, along with associated logistics infrastructure. The company plans to use its operating capabilities and international presence to participate in opportunities across natural resources, mining and infrastructure. STLL said it will continue to evaluate opportunities that support the development of a diversified business platform across its core sectors.
