TotalEnergies has successfully completed its 2026 employee share subscription programme, reinforcing its long-standing commitment to expanding employee ownership across the company. The initiative drew strong participation from employees worldwide, reflecting continued confidence in the company’s growth strategy and long-term outlook.
The capital increase was reserved for eligible current and former employees of TotalEnergies SE and its French and international subsidiaries that are members of the PEG-A Group savings plan. The programme was conducted under the authorization granted by shareholders during the Annual General Meeting held on May 23, 2025, and implemented following the decision of the company’s Board of Directors.
The subscription period remained open from June 3 to June 17, 2026. The subscription price was fixed at €62.00 per share, based on the average closing price of TotalEnergies shares on Euronext over the 20 trading sessions preceding the pricing decision, with a 20 percent discount offered to eligible participants.
The programme received an enthusiastic response, with 59,366 employees across 97 countries subscribing to the offer. More than half of all eligible employees and former employees participated, resulting in total subscriptions worth €310.5 million. The strong response highlights the confidence employees continue to place in the company’s performance, resilience and future direction.
Commenting on the outcome, Patrick Pouyanné, Chairman and Chief Executive Officer of TotalEnergies, said employee share ownership remains one of the most effective ways to connect employees with the company’s financial performance while strengthening their commitment to its long-term success. He noted that participation levels have remained consistently high despite a challenging global business environment, demonstrating employees’ trust in the company’s strategy and its ability to respond to changing market conditions. He added that the continued success of the programme, now offered globally for the tenth consecutive year, reflects the shared commitment between the company and its workforce and ensures that future achievements are shared with employees.
As part of the transaction, 5,548,563 new shares have been issued on June 26, 2026. These shares carry immediate dividend rights and are fully fungible with existing TotalEnergies shares listed on Euronext Paris and the New York Stock Exchange.
Following the completion of the capital increase, employee shareholders are estimated to hold 7.6 percent of TotalEnergies SE’s share capital as of June 26, 2026, further strengthening employee participation in the company’s ownership structure and supporting its commitment to creating long-term value for both employees and shareholders.
