Nexans has entered into an agreement to acquire 100% of the share capital of Republic Wire Inc, a US-based manufacturer of low-voltage copper and aluminum wire products. Headquartered in Cincinnati, Ohio, Republic Wire serves electrical distributors, utilities and municipalities across the United States and Canada.
Founded in 1982, Republic Wire operates a fully developed industrial platform that includes a 32,500 square meter manufacturing facility supported by advanced automation, along with a recently completed 30,000 square meter warehouse and distribution center. The company employs more than 200 people and is currently completing an expansion program expected to increase production capacity by around 30% by the end of 2026. Over the 12 months through February 2026, Republic Wire reported revenue of approximately €520 million.
The acquisition marks a significant step in Nexans’ strategy to strengthen its footprint in the United States, one of the largest and fastest-growing markets for low- and medium-voltage cables. Growth in this segment is being supported by demand across residential construction, commercial infrastructure and data center development.
Through this transaction, Nexans will establish an expanded manufacturing and distribution base in the US, complementing its recent move in Canada. The deal also provides access to Republic Wire’s established sales network and distribution channels, enabling broader market reach and opportunities to introduce Nexans’ wider portfolio, including medium-voltage and grid solutions.
The combined platform is expected to support future expansion in the region while delivering operational efficiencies and commercial benefits. Nexans estimates that the integration will generate annual synergies of approximately €23 million within three years, driven by cross-selling opportunities, shared technologies and improved scale in procurement and manufacturing.
The transaction values Republic Wire at an enterprise value of approximately €680 million, with an additional earn-out of up to €43 million linked to performance through 2027. The existing leadership team, including Ron Rosenbeck and Jeremy Rosenbeck, will continue to manage the business.
Funding will be supported through a mix of debt and available cash. Following completion, Nexans expects its leverage ratio to remain within a disciplined range, with plans to reduce it further through strong cash generation over the coming years. The transaction is expected to contribute positively to earnings per share from the outset, excluding integration-related costs.
Completion is anticipated in the early part of the third quarter of 2026, subject to regulatory approvals and customary closing conditions. Republic Wire will continue operating from its existing facilities in Ohio, forming a key part of Nexans’ long-term growth strategy in North America.
