Honeywell Technologies has officially commenced operations as an independent automation-focused company following the successful completion of the spin-off of its Aerospace Technologies business. The move concludes the company’s multi-year portfolio transformation strategy, creating three standalone businesses with dedicated growth strategies and greater operational focus.
Following the separation, Honeywell Technologies will continue trading on the Nasdaq Stock Market under the ticker symbol HON, while the newly established Honeywell Aerospace has begun trading independently under the ticker symbol HONA. The restructuring also completes Honeywell’s broader strategy of establishing three independent businesses, alongside Solstice Advanced Materials. The separation is designed to provide each company with greater strategic flexibility, enabling focused investments, faster decision-making and stronger execution within their respective industries.
Commenting on the milestone, Vimal Kapur, Chairman and Chief Executive Officer of Honeywell Technologies, described the separation as a defining moment in the company’s history. He said the completion of the restructuring marks the successful transformation of Honeywell into three specialised industry leaders, each equipped with a clear business strategy, enhanced financial flexibility and a long-term growth agenda.
He added that the restructuring represents the culmination of a portfolio transformation programme initiated in 2023. According to Kapur, operating as independent organisations will allow both Honeywell Technologies and Honeywell Aerospace to accelerate innovation, sharpen capital allocation and pursue new opportunities while creating sustainable long-term value for customers and shareholders.
As an independent company, Honeywell Technologies will concentrate on industrial automation and digital transformation across manufacturing, buildings and process industries. The company plans to combine its automation technologies, software capabilities and extensive installed base with advanced analytics and artificial intelligence to help customers improve operational efficiency, productivity, safety and asset reliability.
Its portfolio includes automation platforms, industrial software, connected technologies and digital solutions designed to support the transition from traditional automation systems to increasingly autonomous industrial operations. The company intends to strengthen its presence in industries where digitalisation, energy efficiency and intelligent infrastructure are becoming central to business operations.
The spin-off was completed through the distribution of Honeywell Aerospace shares to Honeywell Technologies shareholders. Investors received one share of Honeywell Aerospace common stock for every two Honeywell Technologies shares held as of the record date, with cash provided in place of fractional shares where applicable.
Alongside the spin-off, Honeywell Technologies also completed a previously announced one-for-two reverse stock split. The adjustment reduced the number of outstanding shares from approximately 634 million to nearly 317 million, while the authorised share capital was proportionately reduced. The reverse stock split became effective before the start of trading on June 29, with Honeywell Technologies continuing to trade under the symbol HON. With the restructuring complete, Honeywell Technologies is entering its next phase as a dedicated industrial automation company focused on advancing digital innovation, intelligent operations and sustainable industrial growth across global markets.
