Tata Steel Board Approves NINL Merger, ₹18,488 Crore Investment in Global Subsidiary and Hospital Stake Acquisition

Tata Steel Limited has announced a series of strategic decisions approved by its Board of Directors, including the merger of Neelachal Ispat Nigam Limited (NINL) with the company, a significant capital infusion into its overseas subsidiary, and the acquisition of full ownership in a healthcare venture. The Board has approved a Scheme of Amalgamation involving NINL and Tata Steel, along with their respective shareholders. The proposed merger is subject to regulatory and statutory approvals. Once completed, the integration is expected to streamline operations, enhance efficiencies and strengthen Tata Steel’s overall manufacturing footprint in India.

Tata Steel had earlier acquired Odisha-based NINL in July 2022 for ₹12,100 crore through its then subsidiary, Tata Steel Long Products. Since the acquisition, the company has been working towards reviving and integrating NINL’s operations into its broader business strategy. The merger marks a key step in consolidating these efforts and unlocking synergies across operations, supply chains and resource utilisation.

In another major decision, the Board approved an investment of approximately USD 2 billion (₹18,488.10 crore) in T Steel Holdings Pte. Ltd. (TSHP), the company’s wholly-owned overseas subsidiary. The investment will be made through subscription to equity shares in one or more tranches starting from the financial year 2026–27.

This capital infusion is aimed at strengthening Tata Steel’s global operations and supporting long-term growth initiatives. TSHP plays a central role in managing the company’s international business, and the planned investment is expected to enhance financial flexibility while enabling strategic expansion across key markets.

Additionally, the Board has approved the acquisition of a stake in Medica TS Hospital Private Limited from Manipal Hospitals Eastern India Private Limited for a total consideration of ₹1.49 crore. Upon completion of the transaction, Medica TS Hospital will become a wholly-owned subsidiary of Tata Steel.

The move reflects Tata Steel’s continued focus on strengthening its presence in the healthcare segment, particularly in providing quality medical services to employees and communities around its operational areas. Full ownership of the hospital is expected to support better governance, operational control and alignment with the company’s broader social and community initiatives.

These decisions collectively highlight Tata Steel’s multi-pronged strategy of consolidating domestic assets, investing in global growth platforms and enhancing its social infrastructure. The merger with NINL is expected to improve operational integration and capacity utilisation, while the investment in TSHP underscores the company’s commitment to expanding its international footprint.

At the same time, the acquisition of Medica TS Hospital reinforces Tata Steel’s focus on employee welfare and community development. The company has a long-standing tradition of investing in healthcare and social infrastructure, and this move aligns with its broader vision of inclusive growth.

All the proposed transactions are subject to necessary regulatory approvals and customary conditions. Tata Steel will take further steps to implement these decisions in line with applicable laws and timelines.
