Flender to Acquire Wärtsilä Brasil Ltda’s Gear Service Business to Strengthen South American Presence

German drive technology leader Flender has signed an agreement with Finnish technology group Wärtsilä to acquire the wind and industrial gearbox service business of Wärtsilä Brasil Ltda. To facilitate the transaction, Flender has established Flender Brasil Ltda. as a subsidiary that will receive the business assets once closing is complete, subject to approval from Brazil’s antitrust authority (CADE).

The transaction remains conditional on CADE’s clearance and other standard closing requirements. Until then, both Flender and Wärtsilä will continue to operate independently, with no changes to customer relationships, suppliers, pricing, or staffing.

Upon completion, the acquisition will include Wärtsilä’s service facility in Cabo de Santo Agostinho, located 35 km south of Recife. Commissioned in 2022, the 5,000 m² site is fully equipped with multiple overhead cranes and advanced wind gearbox testing capabilities, making it the first facility of its kind in Latin America. The acquisition will strengthen Flender’s service operations with a particular focus on the region’s significant installed wind energy base, while also enabling future expansion across industrial applications. Wärtsilä will retain a presence at the facility to support its Marine and Energy businesses.

Wärtsilä has long been a trusted service partner for Flender products in Brazil, consistently providing high-quality support to local customers. This acquisition marks a strategic step for Flender in expanding its global service network and deepening its commitment to the Brazilian market, particularly in wind energy, industrial drivetrain systems, and gear service solutions.

“By adding Flender Brasil Ltda. to our network, we are making an important investment in the future of our service operations,” said Andreas Evertz, CEO of Flender Group. “This milestone underlines our long-standing commitment to delivering industry-leading service for our customers.”

Antti Turunen, Vice President of Wind Service at Flender, added, “Our wind service business has seen steady growth worldwide. With this acquisition, we will be even better positioned to serve customers in Brazil and across South America once regulatory approvals are secured.”The signing of the agreement took place on August 18, 2025, with closing expected by late 2025 or early 2026 following regulatory approval.
