Airfloa Rail Technology Limited (“Airfloa” or the “Company”) today provided an update on the adjudication proceedings relating to delays in the transfer of certain unspent Corporate Social Responsibility (CSR) amounts, while reaffirming that the matter is procedural in nature and has no impact on the Company’s operations, execution capabilities, or long-term growth strategy. The Company referred to its earlier disclosures made on January 10 and January 20, 2026, regarding adjudication proceedings associated with delays in transferring unspent CSR amounts for FY 2019-20 to FY 2022-23. The underlying CSR obligations had already been fulfilled, and the Company had voluntarily undertaken corrective measures and made all necessary regulatory disclosures.
Airfloa has now received the order dated July 13, 2026, issued by the Regional Director (Southern Region), Chennai, disposing of the appeals filed under Section 454(5) of the Companies Act, 2013. The Regional Director has dismissed the appeals and enhanced the monetary penalty imposed on the Company to an aggregate amount of approximately ₹1.8 crore for the relevant financial years. This amount pertains only to the Company and excludes separate penalties levied on individual directors.
The Company is currently evaluating the order and the legal remedies available under applicable law. Appropriate action will be taken based on legal advice. As disclosed in its regulatory filing, Airfloa intends to pursue all remedies available to it. Any financial impact would arise only upon the conclusion of the legal process and only if the enhanced penalty is ultimately upheld. Even in such a scenario, the impact would be limited to the final amount payable and would not affect the Company’s operational performance or execution capabilities.
Airfloa emphasized that manufacturing operations, project execution, customer relationships, vendor engagements, and governance processes continue without disruption. The Company’s business momentum remains strong, supported by robust demand and disciplined execution.
Reflecting this operational strength, Airfloa recently reported record Q1 FY27 revenue of ₹100.7 crore, compared with ₹33.6 crore in the corresponding quarter of the previous year, representing approximately 200% year-on-year growth. The Company also reaffirmed its confidence in achieving its FY27 revenue target of ₹500 crore, backed by a healthy order pipeline and sustained demand across its core businesses.
Airfloa remains committed to the highest standards of corporate governance and regulatory compliance. The Company has further strengthened its internal compliance monitoring and statutory review mechanisms to enhance oversight and ensure timely adherence to all applicable regulatory requirements. It will continue to maintain transparent communication with shareholders and provide timely updates on any material developments.
