Endurance Technologies Acquires 100% Stake in Italy’s Fondalpress for €12.34 Million

Endurance Technologies Limited has acquired 100% of Fondalpress SpA, Italy, through its wholly owned subsidiary Endurance Overseas SpA (EOSpA), for an agreed cash consideration of €12.34 million. The Share Purchase Agreement (SPA) for the transaction was signed on October 6, 2026, with signing and closing completed simultaneously. EOSpA acquired 99.5% of Fondalpress through the purchase of its parent company, Anna Milena SpA, and the remaining 0.5% directly from individual shareholders.

Fondalpress, incorporated in 1969, is engaged in the manufacture of die-cast and machined aluminium components for automotive applications. The acquisition will strengthen Endurance Technologies’ aluminium die-casting business in Europe by expanding its manufacturing capacity and customer base.

The transaction gives EOSpA ownership of Fondalpress’s land and building, machinery and existing manufacturing infrastructure. Endurance said the assets will provide opportunities to increase production capacity and bring certain products that are currently outsourced into its own manufacturing operations.

The acquisition was completed for a cash consideration of €12.34 million. Fondalpress and Anna Milena together held cash and cash equivalents of approximately €10.10 million, resulting in an effective net consideration of around €2.24 million. Following completion of the transaction, EOSpA holds 100% of the shareholding and voting rights in the acquired entities. Endurance said no government or regulatory approvals were required for the acquisition, including antitrust or Golden Power clearances. Ownership and control were transferred to EOSpA upon execution of the SPA.

Fondalpress reported turnover of €36.40 million and profit after tax (PAT) of €0.30 million in 2023. Its turnover declined to €32.20 million in 2024, while PAT stood at €0.04 million. For 2025, Fondalpress reported provisional turnover of €26.60 million and a loss of €0.50 million. The 2025 financial figures are based on unaudited or provisional management accounts and remain subject to approval of the statutory financial statements.

As part of the transaction, Endurance also acquired Anna Milena SpA, which holds the majority stake in Fondalpress. Anna Milena is engaged in the holding and management of real estate properties and was incorporated in 1969. Anna Milena reported turnover of €0.40 million in each of 2023, 2024 and 2025. Its PAT stood at €0.10 million in 2023, €0.40 million in 2024 and €0.10 million in 2025. The acquisition adds to Endurance Technologies’ manufacturing presence in Europe and provides additional infrastructure for aluminium die-casting and machining operations serving the automotive industry.
