TVS Motor Company announced that TVS VENU has agreed to acquire a minority stake in Jana Small Finance Bank through a combination of primary issuance of warrants and secondary share purchases. The transaction will result in an equity ownership of up to 9.9 percent on a fully diluted basis, including 4.9 percent to be held by TVS Motor Company, subject to regulatory and statutory approvals.

The investment marks a significant strategic move by TVS VENU to strengthen its presence in India’s rapidly growing financial services sector. The group already has an established footprint in lending and consumer finance through TVS Credit Services, which serves millions of customers across India with retail and consumer lending solutions.

The latest development follows TVS VENU’s recently announced agreements to acquire a 100 percent stake in PGIM India Asset Management, reflecting the group’s broader expansion into banking, investment, and financial services businesses. Jana Small Finance Bank has emerged as a strong player in retail and MSME banking with a growing secured lending portfolio and an extensive national distribution network. As of March 31, 2026, the bank served more than 12 million customers through 822 outlets spread across 23 states and two Union Territories.

The bank also reported advances and deposits exceeding ₹35,000 crore each. The investment is expected to create opportunities for long-term collaboration across multiple areas, subject to applicable regulations and approvals.

Sudarshan Venu, Chairman of TVS Motor Company, said India’s long-term economic growth will be significantly supported by the expansion and strengthening of the country’s financial services ecosystem.

He stated that TVS VENU currently serves more than 44 million financial services customers through over 100,000 touchpoints across India and sees significant opportunities in the sector’s continued evolution.

According to Mr Venu, the investment in Jana Small Finance Bank aligns with the group’s long-term strategy of supporting strong institutions that address India’s growing credit, savings, and investment requirements while contributing to the expansion of the country’s digital financial ecosystem. He added that Jana Small Finance Bank has established a credible banking franchise with a strong presence across customer segments that remain central to India’s financial growth story.

Mr Venu also acknowledged the contribution of TPG Capital in supporting the growth and development of Jana Small Finance Bank alongside its management team led by Ajay Kanwal.

The company additionally welcomed new investors, including industrialist S P Lohia, founder of Indorama Corporation, and ShrutiLohia through investment vehicle 2i Capital PCC. TVS VENU also thanked HaigreveKhaitan and Khaitan& Co for their advisory and legal support related to the transaction.

The investment comes at a time when India’s banking and financial services industry is witnessing strong growth driven by increasing financial inclusion, digital banking adoption, MSME financing demand, and expanding retail credit penetration. Jana Small Finance Bank’s established customer base, secured lending strategy, and nationwide branch network position it as an attractive platform for long-term participation in India’s expanding financial sector.

Subject to regulatory approvals, the transaction is expected to strengthen Jana’s capital base while supporting future growth opportunities across retail banking, MSME lending, and digital financial services.
