Samvardhana Motherson International Ltd announced that its wholly owned subsidiary, Samvardhana Motherson Automotive Systems Group B.V., will acquire the entire stake in Brazilian auto component manufacturer BaldiIndustria e ComercioLtda for $7.8 million.
BaldiIndustria, a tier-2 supplier in the automotive sector, specializes in providing wrapping solutions and soft-touch finishes for components such as door panels, instrument panels (IP), and steering wheels. In 2023, the company reported a turnover of $11,282 and operates a single production facility in Brazil.
This acquisition strengthens Samvardhana Motherson’s presence in South America, expanding its capabilities in polymer modules and enhancing its expertise in wrapping solutions and soft-touch interiors for vehicles.
The deal is subject to the fulfillment of certain conditions and is expected to close by the first quarter of the next financial year. The payment will be made in cash. Of the total $7.8 million, approximately $2.8 million will be held back as a safeguard for seller indemnification obligations, to be retained for up to five years, the company stated in a regulatory filing.
