Samvardhana Motherson International Limited (SAMIL) has set up a new wholly owned subsidiary, Motherson Egtronics Electronics Solutions Limited (MEESL), as of August 22, 2025. This development follows the signing of a Joint Venture Agreement (JVA) with Egtronics Co, Ltd, a South Korean electronics firm, announced on June 19, 2025.
MEESL was incorporated under the Companies Act, 2013, and is currently fully owned by SAMIL. In line with the JVA, ownership will eventually shift to a 51% stake held by SAMIL (including nominee shareholders) and 49% by Egtronics Co, Ltd.
The newly formed company will specialize in the design, engineering, production, and integration of electronic components for electric and hybrid vehicles. Its offerings will include DC-DC converters, auxiliary inverters, traction inverters, on-board chargers, power distribution units, and other integrated systems aimed at supporting clean mobility solutions.
The initial paid-up capital of MEESL is INR 5,00,000 (Five Lakh Rupees). As a newly formed entity, it does not yet have operational revenue or historical financial data. Operating within the manufacturing industry, MEESL will serve as a key platform for developing advanced electronics for electric mobility, in line with SAMIL’s broader strategic initiatives under the joint venture.
The incorporation did not require any special regulatory approvals, and the transaction was concluded via cash investment. No related party transactions are involved, apart from those defined within the JVA. This announcement complies with Regulation 30 of SEBI’s Listing Obligations and Disclosure Requirements Regulations, 2015, and the related SEBI Master Circular.
