manufacturing news

Nidec Corporation has announced a series of governance reforms, including updates to its director nomination framework and board composition, as part of its ongoing efforts to strengthen transparency, fairness, and corporate oversight. The changes follow recommendations outlined in the Third-Party Committee report published on March 3, along with the company’s previously disclosed improvement plan and status update. These measures are intended to ensure that the Board of Directors operates with enhanced effectiveness and incorporates a broader range of expertise and perspectives.

As part of the reforms, Nidec has revised the composition of its Nomination Committee, effective March 26, 2026. Notably, Representative Director and CEO Mr Kishida will no longer serve on the committee. This step is aimed at reinforcing the independence, fairness, and objectivity of the director nomination process.

The company has also updated its policy and criteria for the appointment and dismissal of directors, with the revised framework set to take effect on April 1, 2026. The updated criteria emphasize not only professional expertise but also ethical standards, compliance, sound management discipline, and a focus on long-term organizational development.

Looking ahead to the 53rd Annual General Meeting of Shareholders, Nidec will implement a more structured and transparent nomination process. The company plans to clearly define the required composition of the Board, including the inclusion of individuals with corporate management experience and accounting expertise.

The Nomination Committee will identify potential candidates from a broad talent pool, including external professionals. A rigorous process involving interviews, evaluations, and deliberations will be conducted to ensure that selected candidates bring diverse perspectives and contribute meaningfully to governance. Particular emphasis will be placed on independence from current management to enhance accountability.

Through these initiatives, Nidec aims to build a well-balanced Board of Directors capable of supporting sustainable growth and maximizing corporate value. The company remains committed to meeting the expectations of shareholders and stakeholders by strengthening governance practices and ensuring long-term strategic alignment.
