Samvardhana Motherson International Ltd (SAMIL), a key entity of the Motherson Group, has announced plans to acquire Atsumitec Co., a Japanese automotive component manufacturer, for $57 million (₹475 crore). Established in 1949, Atsumitec is a specialist in metal and machining, focusing on manufacturing gear shifters, chassis, and transmission components for two-wheelers and four-wheelers.
The company operates through subsidiaries in Thailand, Hong Kong, the USA, Vietnam, China, Japan, and Indonesia. With nine facilities across various developed and emerging markets and a workforce of approximately 3,400 employees, Atsumitec serves leading Japanese OEMs such as Honda Motor, Toyota, Mitsubishi, Suzuki, and Daihatsu.
Currently, Honda Motor holds a 48.01% stake in Atsumitec, while the remaining 51.99% is distributed among the founding family, management, employees, and business partners. By December 6, 2024, SAMIL’s SPC had already acquired 31.75% of the shares from these shareholders. SAMIL aims to secure at least 48% ownership and reconstitute Atsumitec’s board by Q4 FY2025, with the acquisition set for completion by Q1 FY2026.
After the acquisition, Honda Motor’s stake will decrease to 5%. Atsumitec reported revenue of ¥62 billion (₹3,432 crore) in FY2024. This acquisition aligns with the Motherson Group’s 3CX strategy, which focuses on diversifying product lines, expanding the customer base with Japanese automakers, and entering new markets.
Atsumitec’s expertise will enable SAMIL to add new offerings such as chassis and transmission components and strengthen its presence in markets like Vietnam for two-wheelers. Additionally, the acquisition is expected to open cross-selling opportunities for Motherson’s existing portfolio with Japanese OEMs, which contribute to over 25% of global passenger vehicle production. Access to Atsumitec’s global metal and machining capabilities will further support SAMIL’s growth, complementing its operations in India and Mexico.
