Remember to file your MGT-7 Form for Annual Returns within 60 days of AGM

The Ministry of Corporate Affairs has notified all the companies registered in India to file the MGT-7 form for Annual Returns by 30th November 2019. This e-form is maintained by the RoCs via electronic mode and on the basis of the statement of correctness given by the company.

Form MGT-7 of a small company or a one-person company needs to be signed by the Director of a company using a class 2 digital signature or a company secretary in practice.

Documents required

While filing the form for MGT, the scanned copies for the following documents are required to be attached:

  • List of shareholders
  • Approval letter for extension of AGM
  • Copy of MGT-8
  • Optional attachments

Information to be included in MGT-7

The following information has to be shared in the form to be filed:

  • Registered office, business activities, and particulars of its holdings, subsidiaries, and associate companies.
  • Shares and other securities
  • Details of indebtedness
  • Details of members with changes since the close of the previous financial year.
  • Remuneration of directors and key managerial personnel
  • Penalty and punishment imposed on the company.
  • Certification of compliances and disclosures as prescribed.

Due Date and late filing Penalty

The Form MGT-7 has to be filed within 60 days from the AGM. This year the date within which the form needs to be mandatorily filed is by 30th November 2019.

If any company is unable to file the annual return within the stipulated time, the penalty would be of `100 per day.

So to avoid the penalty, file your MGT-7 form by 29th November.
