Bosch Secures CCI Approval for $8 Billion HVAC Acquisition from Johnson Controls

Bosch Group has received approval from the Competition Commission of India (CCI) to acquire full control over Johnson Controls International’s (JCI) residential and light commercial heating, ventilation, and air-conditioning (HVAC) business in a deal valued at $8 billion. This acquisition also includes Bosch taking over 100% of the Johnson Controls-Hitachi Air Conditioning Holding (UK) Limited (JCH) joint venture, acquiring Hitachi’s 40% stake.

The transaction, which was submitted under the Green Channel route, marks a significant step for Bosch to expand its footprint in the global HVAC market. Bosch, a technology solutions leader based in Germany, is set to absorb JCI’s HVAC operations into its broader Energy and Building Technology division. This move will allow Bosch to enhance its offerings in heating, cooling, and home comfort solutions, although its Home Comfort division is not yet present in India’s heating and cooling market.

JCI, headquartered in Ireland, specializes in manufacturing and engineering products across multiple sectors, including residential and commercial HVAC systems, industrial refrigeration, and security systems. The JCH venture, created in 2015 with Hitachi Ltd., focuses on air conditioning and cooling technologies and is based in Tokyo, Japan. Bosch’s acquisition is expected to help strengthen its position in the HVAC industry, particularly in expanding its technological capabilities.

With the CCI’s approval, granted under the automatic route, the transaction will proceed without additional regulatory review. The deal was deemed to have no adverse effect on competition in India, ensuring a smooth approval process. This acquisition highlights Bosch’s ongoing commitment to boosting its position in the global HVAC sector while adhering to competition laws.

The Bosch Group operates in India through twelve companies, with Bosch Limited serving as its flagship entity. Other subsidiaries include Bosch Chassis Systems India, Bosch Rexroth (India), Bosch Global Software Technologies, Bosch Automotive Electronics India, BSH Home Appliances, ETAS Automotive India, Robert Bosch Automotive Steering, Bosch Mobility Platform and Solutions India, Newtech Filter India, Precision Seals Manufacturing, and Mivin Engineering Technologies.

Bosch began its manufacturing operations in India in 1951, which have since expanded to encompass 17 manufacturing facilities and seven development and application centers. This extensive infrastructure highlights Bosch’s commitment to technological growth and innovation in the region.

Employing over 39,769 associates in India, the Bosch Group achieved consolidated sales of approximately ₹37,912 crores (€4.2 billion) during the 2023–24 fiscal year, with ₹34,816 crores (€3.8 billion) generated through sales to third parties. Bosch Limited, as the flagship company, continues to drive the group’s operations and success, cementing its leadership in the Indian market and contributing significantly to the country’s technological and industrial landscape.
