Biocon Limited (BSE: 532523, NSE: BIOCON), a global biopharmaceutical innovator, has announced plans to fully integrate Biocon Biologics Limited (BBL) as a wholly owned subsidiary, subject to regulatory and shareholder approvals. To support this transition, Biocon has established a Governance Council led by Executive Chairperson Kiran Mazumdar-Shaw, along with a Transition and Integration Management Committee headed by Shreehas Tambe, CEO and Managing Director of Biocon Biologics.

This decision follows a comprehensive review conducted by the Strategy Committee established in May 2025, which evaluated multiple long-term paths for BBL, including an IPO and merger options. Based on strategic alignment, market opportunity, shareholder value creation, and operational efficiency, the Committee determined that bringing Biocon Biologics fully under Biocon Limited creates the strongest platform for future growth.

Under the proposed terms, Biocon will acquire the remaining shares of Biocon Biologics held by Serum Institute Life Sciences, Tata Capital Growth Fund II, and Activ Pine LLP through a stock swap of 70.28 Biocon shares for every 100 BBL shares, valuing Biocon Biologics at USD 5.5 billion. In addition, Biocon will purchase the remaining stake from Viatris for USD 815 million, with USD 400 million paid in cash and the balance through a share exchange ratio of 61.70 Biocon shares per 100 BBL shares. All valuation ratios were determined independently by EY.

To support the transaction, Biocon’s Board has approved raising up to INR 4,500 crore (USD 500 million) via a Qualified Institutional Placement, subject to shareholder approval. Funds from the issuance will primarily be used to fulfil cash obligations associated with the Viatris transaction. The integration is targeted for completion by March 31, 2026.

This move strengthens Biocon’s position in key global therapeutic areas including diabetes, oncology, and immunology—markets that together represent nearly 40% of worldwide pharmaceutical spending. With leadership in both biosimilar insulins and complex generics, including GLP-1 peptides, Biocon is well placed to address the rapidly expanding diabetes and obesity segment.

Current leadership roles will remain unchanged during the transition. Once integration is complete and required approvals are secured, Shreehas Tambe will become CEO & Managing Director of the combined entity, and Kedar Upadhye will assume the role of Chief Financial Officer. Siddharth Mittal will transition to a broader leadership role within the Biocon Group.

Kiran Mazumdar-Shaw stated, “Bringing Biocon Biologics fully under Biocon marks a transformational milestone for our company. The combined capabilities in biosimilars and generics will provide a differentiated offering across major global markets and enable us to better serve patients, especially in diabetes, oncology, and immunology. I am confident that under Shreehas Tambe’s leadership, the integrated business will scale new heights and accelerate global access to high-quality affordable medicines.”

With operations across more than 120 countries, Biocon Biologics is already among the top five biosimilar companies globally, with 10 commercialized products. Together with Biocon’s generics portfolio of over 90 products, the unified entity will create a stronger, more agile global biopharmaceutical leader.
