Bharat Forge to Acquire AAM India Manufacturing Corporation in Rs. 5,445 Million Deal

Bharat Forge Limited has entered into a definitive agreement to acquire AAM India Manufacturing Corporation Private Limited (AAMIMCPL), a subsidiary of American Axle & Manufacturing Holdings, Inc. (AAM), at an enterprise value of Rs. 5,445.30 million, subject to closing adjustments.

Founded in 2008, AAM India Manufacturing Corporation Private Limited (AAMIMCPL) is a prominent manufacturer of axles for light, medium, and heavy-duty commercial trucks and passenger buses in India. As part of this acquisition, Bharat Forge will take over AAMIMCPL’s commercial vehicle axle operations in Pune and Chennai, along with the Pune Engineering and Development Center.

The transaction is subject to approval by the Competition Commission of India (CCI) and will proceed only after receiving the necessary regulatory clearances and meeting other standard closing conditions. Amit Kalyani, Vice Chairman & Joint Managing Director of Bharat Forge Limited, expressed his enthusiasm about the acquisition, stating, “We are thrilled to welcome the AAMIMCPL team to Bharat Forge. Their technical expertise and well-established industry connections will play a pivotal role in growing the business over the coming years.”

He further added that the acquisition marks a significant step in Bharat Forge’s strategy to expand its product offerings in the vehicle components space, allowing the company to enter a new business segment.

David C. Dauch, Chairman and CEO of AAM, highlighted the rationale behind the sale: “Divesting our commercial vehicle axle business in India enables us to sharpen our focus on internal combustion engine (ICE), hybrid, and electric vehicle applications for passenger cars, SUVs, and vans globally, while also enhancing our financial flexibility. We are committed to working with Bharat Forge to ensure a smooth transition and maintain supply continuity from these facilities during the ownership change.” The transaction remains subject to regulatory approval and other customary conditions.
