AXISCADES Technologies Limited has initiated the voluntary solvent liquidation of its wholly owned German step-down subsidiary, add-solution GmbH, as part of its decision to exit automotive engineering services and focus on its other business areas. The members’ resolution to dissolve add-solution was adopted on September 24, 2026, with the dissolution taking effect from September 25, 2026. The decision has been registered with the German Commercial Register.

Based in Wolfsburg, Germany, add-solution provides engineering design services to the automotive industry. The company became part of the AXISCADES Group in June 2023. A downturn in the German automotive sector reduced demand for its services and resulted in losses over several quarters.

Following a review of strategic alternatives, AXISCADES determined that voluntary solvent liquidation was the appropriate course for the business. The process will be carried out under applicable German law and is not an insolvency proceeding. The liquidation also completes AXISCADES’ exit from automotive engineering services following the recently completed transfer of its Automotive Engineering Services business. The company said the decision removes its remaining exposure to the automotive engineering segment.

add-solution contributed ₹15.62 crore, or 1.35%, to AXISCADES’ consolidated turnover in FY26. The subsidiary had a negative net worth of ₹14.37 crore as of March 31, 2026. On a standalone basis, the company incurred a PAT loss of ₹34.48 crore between FY25 and Q1 FY27 and continued to report losses.

AXISCADES said the closure will help management focus on its growth platforms, including aerospace manufacturing, defence, XIDA and space-related businesses. The company does not expect the liquidation to have a material impact on its operations or profitability. It expects the closure to remove the recurring losses associated with the German subsidiary and improve the quality of consolidated earnings.

The solvent liquidation process will involve the settlement of the subsidiary’s affairs in accordance with German legal requirements. As a solvent liquidation, the process differs from insolvency proceedings and is being undertaken as a planned business closure.

AXISCADES Technologies is headquartered in Bengaluru and has operations across Europe, the Americas and the Asia-Pacific region. The company develops product-based solutions in aerospace and defence, along with electronics, semiconductor and artificial intelligence products. The company works with global original equipment manufacturers and Tier 1 suppliers through long-term strategic partnerships. The closure of add-solution marks the completion of AXISCADES’ withdrawal from automotive engineering services in Germany and allows the company to concentrate resources on aerospace, defence, electronics, semiconductor, AI and space-related activities.
