LANXESS has announced that Advent HoldCo will not proceed with the acquisition of its stake in the ENVALIOR joint venture in 2026. The decision follows Advent HoldCo’s notification to LANXESS, citing conditions related to financing as outlined in the original agreement.
As a result, the previously defined additional tender and purchase periods for LANXESS’ shares in ENVALIOR, scheduled for 2027 and 2028, will now remain in effect. These timelines were initially detailed in the company’s announcement dated September 23, 2025.
LANXESS reaffirmed its commitment to ENVALIOR and will continue to play an active role in the joint venture’s development. The company expects positive growth driven by improving market conditions, operational synergies between the partner organizations, and ongoing consolidation within the competitive landscape.
Despite the absence of proceeds from a potential divestment in 2026, LANXESS emphasized that its financial position remains strong. The company maintains a solid cash reserve along with undrawn, committed credit facilities exceeding EUR 1.35 billion. These resources ensure that LANXESS is well-positioned to meet its financial obligations, including the repayment of a bond maturing in October 2026.
The company also confirmed that its financing arrangements are not subject to financial covenants, providing additional flexibility in managing its capital structure. Furthermore, LANXESS retains full and unrestricted access to global debt capital markets, supporting its ability to secure funding as needed.
Reducing financial debt continues to be a key strategic priority for LANXESS. The company remains focused on maintaining financial discipline while supporting growth initiatives and strengthening its portfolio.
With a stable financial foundation and continued involvement in ENVALIOR, LANXESS is positioned to navigate evolving market dynamics while pursuing long-term value creation for stakeholders. LANXESS, a leading specialty chemicals provider with a revenue of EUR 6.7 billion in 2023, operates in 32 countries and employs around 12,600 people. The company focuses on the development, production, and marketing of chemical intermediates, additives, and consumer protection products.
