R Systems Acquires Novigo Solutions, Expands Product Engineering and Automation Capabilities

R Systems International Limited, a global provider of digital product engineering services, has signed a definitive agreement to acquire Novigo Solutions, a fast-growing company specializing in low-code/no-code (LCNC) platforms and intelligent automation solutions. This acquisition significantly strengthens R Systems’ position in the market, combining the two companies’ capabilities to deliver comprehensive enterprise-scale automation and AI-driven services. The combined entity will generate annual revenues of approximately ₹2,060 crore ($45 million).

Novigo has posted strong growth, with a 44% revenue CAGR over the past three years, a 25% EBITDA margin, and robust cash flow. The acquisition includes an upfront payment of ₹400 crore in cash, along with a future stock component linked to Novigo’s EBITDA performance. The deal is expected to be earnings-accretive for R Systems from the first year.

As businesses increasingly shift IT investments toward autonomous workflows and AI governance, this acquisition enhances R Systems’ ability to meet those demands. It combines R Systems’ OptimaAI platform with Novigo’s established UiPath Diamond-tier automation practice and Microsoft Copilot Center of Excellence. Together, the companies will be well-positioned to design, implement, and manage next-generation enterprise automation at scale.

The deal also expands R Systems’ reach in the Middle East and adds delivery capacity in Bangalore and Tier 2 cities like Mangalore. Novigo’s leadership team will continue to operate within the merged organization to help drive ongoing growth.
