Zen Technologies Limited has acquired a majority stake in TISA Aerospace, a Hyderabad-based firm specializing in loitering munitions and unmanned aerial vehicles (UAVs). This move, which was approved by the company’s Board of Directors, is a strategic step to further strengthen Zen’s position in the rapidly growing precision-guided weaponry sector.
The acquisition will be carried out through a combination of share purchases from existing stakeholders and the acquisition of compulsorily convertible debentures (CCDs) issued by TISA. Financial details of the transaction have not been disclosed. The investment is set to boost Zen’s presence in the loitering munitions market, a critical area in modern warfare known for its precision and operational flexibility.
Ashok Atluri, Chairman and Managing Director of Zen Technologies, commented on the deal: “This acquisition marks a significant leap forward in solidifying Zen’s position in the dynamic defence drone market. TISA’s capabilities provide us with immediate access to next-generation technologies that align with the evolving demands of our armed forces.”
TISA Aerospace has already reached important milestones in research and development, including a successful collaboration with the Defence Research and Development Organisation (DRDO), with key design contributions from IIT Madras. Zen intends to integrate TISA’s innovations with its existing expertise in anti-drone systems and propulsion technologies, aiming to build a more comprehensive and future-proof defence portfolio.
The acquisition announcement comes shortly after Zen Technologies reported impressive financial results, posting a 189% year-on-year (YoY) growth in consolidated net profit, reaching Rs 101.04 crore for the quarter ending March 2025. Revenue from operations increased by 130% YoY, hitting Rs 324.97 crore, while total expenses grew 106% to Rs 195.7 crore.
