Gujarat Themis Biosyn Ltd (GTBL) has signed an asset purchase agreement with Sanofi to acquire a portfolio of anti-tuberculosis and anti-infective brands, marking a significant step in its strategy to expand its global pharmaceutical footprint and move toward forward integration. The proposed acquisition includes 13 established branded generic products with a presence across more than 55 countries spanning Europe, the Middle East and Africa. The portfolio reported net sales of approximately €62 million for the year ended 2025. The transaction, subject to regulatory approvals including antitrust and foreign direct investment clearances, is expected to close by the third quarter of FY27.
As part of the agreement, GTBL will acquire marketing authorisations, product brands, regulatory dossiers, inventory and associated commercial rights. The transaction does not involve the transfer of manufacturing facilities or employees, enabling a capital-efficient expansion model.
The acquisition is expected to strengthen GTBL’s position in the anti-infective segment while providing immediate access to regulated and semi-regulated markets. It also supports the company’s plans to build an integrated pharmaceutical platform by linking its existing capabilities in fermentation-based intermediates and active pharmaceutical ingredients with finished dosage formulations.
The portfolio operates with stable margins and offers potential for further improvement through operational efficiencies and backward integration. It also includes well-established brands with long-standing clinical relevance, providing a strong base for sustained growth through lifecycle management and geographic expansion.
Commenting on the development, Dr Sachin Patel, Managing Director of GTBL, said the transaction represents a key milestone in the company’s evolution towards a higher-value pharmaceutical business. He highlighted that integrating capabilities across the value chain—from fermentation to finished products—will help improve efficiency, reduce supply chain risks and enhance profitability over the long term.
The move aligns with global healthcare priorities, particularly efforts to address tuberculosis and bacterial infections. Increasing focus on access to medicines and the management of antimicrobial resistance continues to drive demand for reliable and effective anti-infective treatments.
GTBL expects to create additional value from the portfolio through expansion into under-served markets, development of new formulations and optimisation of distribution networks. Opportunities also include reactivating marketing approvals in select regions and strengthening retail presence.
The transaction consideration is €158 million, to be paid in cash at closing, and is expected to be funded through a combination of debt and equity. The acquisition is anticipated to be earnings accretive, supported by improved operating leverage and a higher-value product mix.
